The filing was precipitated by an unexpected cash sweep by prepetition secured lender Avidbank on Dec. 15, which disrupted an active marketing process and forced the termination of a majority of the workforce. The debtor pivoted to a §363 sale strategy, designating F52, LLC (a subsidiary of America’s Test Kitchen, LP) as the stalking horse bidder with a $6.5 million offer comprised of a credit bid of DIP obligations and assumption of liabilities. F52 is providing a $3.42 million new-money DIP facility ($1.92 million interim) to fund the 35-day sale process and satisfy the remaining $411,000 owed to Avidbank.
