United Site Services, Inc. and its debtor affiliates⁽¹⁾, a Westborough, MA-based provider of portable sanitation and temporary site services, filed for Chapter 11 protection on Dec. 29 in the U.S. Bankruptcy Court for the District of New Jersey.
The prepackaged filing aims to implement a comprehensive balance sheet restructuring supported by an ad hoc group of lenders holding a controlling majority of the company's funded debt and equity sponsor Platinum Equity.
The plan, outlined in a Restructuring Support Agreement (RSA), will eliminate over $2.4 billion of the company's $2.8 billion in funded debt by equitizing second-out term loans and provides for $300 million in committed exit financing and a fully backstopped $480 million equity rights offering. To fund the case, the debtors have secured a $120 million new-money DIP facility backstopped by the ad hoc group.
United Site Services, Inc. reports $1 billion to $10 billion in both assets and liabilities. The filing indicates that there will be funds available for distribution to unsecured creditors. The case number is 25-23630.
