Corporate Air, LLC and its debtor affiliates⁽¹⁾, a West Mifflin, PA-based aircraft charter and aviation services provider, filed for Chapter 11 protection on Sep. 29 in the U.S. Bankruptcy Court for the Western District of Pennsylvania.
The filing aims to facilitate a pre-arranged sale of the company's assets as a going concern to its prepetition bridge lender and proposed DIP lender, Vantage AGC, LLC, pursuant to a Restructuring Support Agreement (RSA). The move follows a severe liquidity crisis precipitated by the loss of key managed aircraft customers in 2023 and a recent threat of termination of its ground leases at Allegheny County Airport, which Vantage's $2 million prepetition bridge loan cured.
To fund the sale and operations, the debtors are seeking approval of up to $4.5 million in new-money junior DIP financing from Vantage ($1.5 million interim) and use of cash collateral of senior secured lenders Huntington National Bank and the U.S. Small Business Administration.
The company reports $1 million to $10 million in assets and $10 million to $50 million in liabilities. The filing indicates that there will be funds available for distribution to unsecured creditors. The case number is 25-22602.
