FuturHealth Files Chapter 11 in District of Delaware

By Insights

Update (November 2, 2026): A comprehensive case summary is now available for the Chapter 11 bankruptcy filing of FuturHealth, Inc.

FuturHealth, Inc., a San Diego, CA-based digital health company providing a personalized weight-loss platform that combines prescription medications with clinical support and nutrition plans, filed for Chapter 11 protection on Nov. 1 in the U.S. Bankruptcy Court for the District of Delaware.

The company attributes its distress to a combination of business, litigation and liquidity challenges. The first came in early 2025, when the debtor signed an approximately $13.5 million advertising agreement with iHeartMedia. The campaign failed to produce the expected return but still required more than $4 million of cash payments in the first half of 2025. That cash was then unavailable for the advertising the business relies on to replace lost customers and grow its recurring subscriber base. At the end of 2025, the remaining balance was converted into an approximately $9.1 million secured facility, easing the immediate payment burden but leaving the company with funded debt.

Facing a rapidly evolving regulatory environment for GLP-1 medications and litigation with Novo Nordisk over its marketing of compounded semaglutide, since settled, the debtor stopped marketing compounded GLP-1 medications in August 2025 to focus on FDA-approved alternatives. The shift required cuts to marketing spend, which slowed new-customer growth even as the company had to keep replacing customers it was losing.

In September 2025, Goglia Nutrition, an entity partly owned by the debtor’s founders, sued the company over its formation and its alleged use of intellectual property and customer data. The suit materially impaired the company’s ability to raise new equity or conventional debt financing in 2026. Unable to obtain conventional financing, the company cut non-marketing operating expenses by approximately 42% between January and July 2026. It also turned to merchant cash advances, whose payments, together with those owed to iHeartMedia, totaled approximately $500,000 per month. These cost reductions proved insufficient to offset falling revenue, and the debtor fell increasingly behind on vendor payments. On Aug. 20, 2026, the district court denied the company’s motion to compel arbitration of the Goglia suit. That ruling substantially reduced the chance that the company could resolve the litigation quickly and raise enough capital outside Chapter 11.

The debtor intends to pursue a court-supervised sale of some or all of its business and assets, continuing a prepetition marketing process run by Hilco Corporate Finance. At the same time, it will evaluate whether a stand-alone reorganization or another strategic transaction would provide more value. To fund the case, the debtor has secured a senior secured superpriority DIP facility of up to $5 million from Twelve Bridge Capital. Of that amount, $1.5 million becomes available on an interim basis, and up to an additional $3.5 million becomes available after the final order is entered and a qualified stalking horse asset purchase agreement is signed. Prepetition secured lender iHeartMedia, owed approximately $7.5 million, has consented to the priming of its liens, subject to adequate protection.

FuturHealth, Inc. reports $10 million to $50 million in both assets and liabilities. The filing indicates that there will be funds available for distribution to unsecured creditors. The case number is 26-11748.
